Dhiraagu Invites Applications for Public Director Role

Dhiraagu has invited public shareholders to apply for the position of Public Director on its Board of Directors ahead of its Annual General Meeting (AGM) scheduled for April 2026.

The Public Director represents public shareholders and is elected exclusively by shareholders who are not majority shareholders, the company said in a press release. The successful candidate will serve from the AGM at which they are elected until the conclusion of the second subsequent AGM.

Dhiraagu stated that eligible public shareholders must submit a completed application form, along with supporting documents, by 3:00 pm on 12 March. Applications may be delivered in a sealed envelope addressed to the Company Secretary at Dhiraagu Head Office on Ameenee Magu, Malé, or submitted via email to the company’s investor relations address.

The company said its Board’s Remuneration, Nomination and Governance (RNG) Committee will review and shortlist applications through a structured evaluation process. Shortlisted candidates may be invited for interview. Subject to Board approval, the Committee’s recommendations will be included in the AGM notice and presented to shareholders for voting.

The candidate who receives the highest number of votes at the AGM will be elected. Only shareholders attending in person, participating online or represented by proxy will be eligible to vote, with each shareholder entitled to one vote per share held.

Dhiraagu said it remains committed to gender diversity and strongly encouraged qualified female shareholders to apply for the position.
